Company and Division Integrity

Overview

Welcome to the Policy on Company and Division Integrity of The Alvan Ikoku Philanthropies, a division of The Alvan Ikoku Group LLC. The Ikoku Philanthropies holds maintaining company and division integrity to be of high and critical importance, and strictly prohibits intentional breach, diminishment, disruption, impediment, interference or other violation pertaining to the administration, management, operations, properties, rights and technologies of The Ikoku Philanthropies as independently and solely determined and controlled by its Founder and Owner, Alvan Azinna Chibuzo Ikoku.

Therefore, persons engaged in activity within, for, on behalf of, in reference to and otherwise pertaining to The Ikoku Philanthropies are expected to take the time to read, understand and uphold the Policy on Company and Division Integrity below.

Your Agreement

— With respect to the Agreement you enter into with The Ikoku Philanthropies via the Policy on Company and Division Integrity, you understand and adhere to the following:

Persons Adhering to Agreement
that the Policy on Company and Division Integrity is to be adhered to by a wide range of associated individuals and communities ― including but not limited to board and committee members, leadership, management, officers, staff, employees, volunteers, representatives, agents, collaborators, partners, and visitors and users ― as they work in their capacity to establish, further develop, operate, collaborate with, carry out the mission and purposes of, and also visit, use and participate in the offerings of The Ikoku Philanthropies.
Applicability and Governance of Agreement
that the Policy on Company and Division Integrity governs any and all of your access, actions, activity, communication, operations, participation or other use in, with, for, on behalf of, in reference to or otherwise pertaining to The Ikoku Philanthropies, its series, subsidiaries and affiliates, and its Products and Services, including the Sites.
Entry and Continuation of Agreement
that whenever you engage in any access, action, activity, communication, operation, participation or other use in, with, for, on behalf of, in reference to or otherwise pertaining to The Ikoku Philanthropies, its divisions, series, subsidiaries or affiliates, and its Products and Services, including the Sites — directly or indirectly as further described below — you are agreeing to the Policy on Company and Division Integrity as well as the associated Codes and Policies that collectively constitute The Ikoku Philanthropies User Agreement and Code of Conduct, as they are amended from time to time.
Direct and Indirect Entry and Continuation of Agreement
that whenever you engage in the above described activities directly or indirectly — whether engaged in through The Ikoku Philanthropies, its divisions, series, subsidiaries or affiliates, and its Products and Services, including the Sites; or through persons and entities working with The Ikoku Philanthropies, its divisions, series, subsidiaries or affiliates, and its Products and Services, including the Sites; or working with such engaged activities and resulting media, materials or otherwise — you are also agreeing to the Policy on Company and Division Integrity as well as the associated Codes and Policies that collectively constitute The Ikoku Philanthropies User Agreement and Code of Conduct, as they are amended from time to time.
Binding Nature and Validity of Agreement
that you are also thus indicating that you understand the Policy on Company and Division Integrity and the Codes and Policies, that you intend them to be the legal equivalent of a signed, written contract, equally binding, and that you accept such Policy on Company and Division Integrity and Codes and Policies and agree to be legally bound by them (your “Agreement”).
Agreement On Behalf of Organization
that if you are engaging in any of the above described activities, communication or uses for or on behalf of an organization, you are agreeing to this Agreement on behalf of that organization, and represent and warrant that you can do so.
In Case of Non-Agreement or Inability to Honor
that you will not engage in any of the above described activities, communication or uses if you do not agree to all of the Policy on Company and Division Integrity or the Codes and Policies or if your jurisdiction will not honor them.

And furthermore, by using or visiting, in any way, The Ikoku Philanthropies, any area, part, section or properties of The Ikoku Philanthropies, any area, part, section or properties of its divisions, series, subsidiaries or affiliates, as well as any of the Products or Services, including the Sites, you accept and agree to the terms, conditions and requirements described above, and in these Codes and Policies, in their entirety without modification.

Your Duty to The Policy

— With respect to your duty to the Policy on Company and Division Integrity, you represent and warrant that you understand and shall adhere to such duty entailing the following:

Refraining from Any Intentional Breach or Violation
avoiding, refraining from and stopping any action, activity, operation or planning you engage in that may encourage, result in or otherwise foster any intentional breach or violation of the Policy on Company and Division Integrity; any intentional breach, diminishment, disruption, impediment, interference or other violation pertaining to the administration, management, operations, properties, rights and technologies of The Ikoku Group or The Ikoku Philanthropies; any intentional breach, diminishment, disruption, impediment, interference or other violation pertaining to company and division integrity, indemnification, limited liability and property protections and rights of The Ikoku Group or The Ikoku Philanthropies; and any intentional breach, diminishment, disruption, impediment, interference or other violation pertaining to the independent and sole control and determination of the above by their Founder and Owner, Alvan Azinna Chibuzo Ikoku.
Refraining from Any Unintentional Breach or Violation
avoiding, refraining from and stopping any action, activity, operation or planning you engage in that may encourage, result in or otherwise foster any unintentional breach or violation of the Policy on Company and Division Integrity; any unintentional breach, diminishment, disruption, impediment, interference or other violation pertaining to the administration, management, operations, properties, rights and technologies of The Ikoku Group or The Ikoku Philanthropies; any unintentional breach, diminishment, disruption, impediment, interference or other violation pertaining to company and division integrity, indemnification, limited liability and property protections and rights of The Ikoku Group or The Ikoku Philanthropies; and any intentional breach, diminishment, disruption, impediment, interference or other violation pertaining to the independent and sole control and determination of the above by their Founder and Owner, Alvan Azinna Chibuzo Ikoku.
Reporting Any Intentional Breach or Violation
reporting — directly and specifically to Alvan Azinna Chibuzo Ikoku, the Founder and Owner of The Ikoku Group and The Ikoku Philanthropies — any action, activity, operation or planning you engage in that may encourage, result in or otherwise foster any intentional breach or violation of the Policy on Company and Division Integrity; any intentional breach, diminishment, disruption, impediment, interference or other violation pertaining to the administration, management, operations, properties, rights and technologies of The Ikoku Group or The Ikoku Philanthropies; any intentional breach, diminishment, disruption, impediment, interference or other violation pertaining to company and division integrity, indemnification, limited liability and property protections and rights of The Ikoku Group or The Ikoku Philanthropies; and any intentional breach, diminishment, disruption, impediment, interference or other violation pertaining to the independent and sole control and determination of the above by their Founder and Owner, Alvan Azinna Chibuzo Ikoku.
Reporting Any Unintentional Breach or Violation
reporting — directly and specifically to Alvan Azinna Chibuzo Ikoku, the Founder and Owner of The Ikoku Group and The Ikoku Philanthropies — any action, activity, operation or planning you engage in that may encourage, result in or otherwise foster any unintentional breach or violation of the Policy on Company and Division Integrity; any unintentional breach, diminishment, disruption, impediment, interference or other violation pertaining to the administration, management, operations, properties, rights and technologies of The Ikoku Group or The Ikoku Philanthropies; any unintentional breach, diminishment, disruption, impediment, interference or other violation pertaining to company and division integrity, indemnification, limited liability and property protections and rights of The Ikoku Group or The Ikoku Philanthropies; and any intentional breach, diminishment, disruption, impediment, interference or other violation pertaining to the independent and sole control and determination of the above by their Founder and Owner, Alvan Azinna Chibuzo Ikoku.
Determination of Compliance
not diminishing or interfering with, in any way, the ability, opportunity and sole discretion and rights of The Ikoku Group, The Ikoku Philanthropies and their Founder and Owner, Alvan Azinna Chibuzo Ikoku, to determine compliance with the Policy on Company and Division Integrity and to have their decision be final and binding and not subject to challenge or appeal.

And furthermore, by using or visiting, in any way, The Ikoku Philanthropies, any area, part, section or properties of The Ikoku Philanthropies, any area, part, section or properties of its divisions, series, subsidiaries or affiliates, as well as any of the Products or Services, including the Sites, you accept and agree to the terms, conditions and requirements described above, and in these Codes and Policies, in their entirety without modification.

Your Consent to The Policy

— With respect to your ability to agree and consent to the Policy on Company and Division Integrity, you represent and warrant the following:

Your Power and Authority
that you have the power and authority to enter into the agreement entailed in the Policy on Company and Division Integrity, including, where applicable, the power and authority to enter into the agreement on behalf of an organization.
Required Age or Permission and Supervision
that you are at least eighteen (18) years old or if younger at least thirteen (13) years old and engage in activity, communication, operation, participation, visit or other use in relation to The Ikoku Philanthropies, its series, subsidiaries and affiliates, or its Products and Services, including the Sites with the permission and supervision of an adult parent or guardian.
Reading and Understanding
that you have read and understood the Policy on Company and Division Integrity.
Voluntary Nature of Consent
that you understand your consent to be voluntary in nature.
Agreement and Consent
that you consented to and agreed to be legally bound by the Policy on Company and Division Integrity.

And furthermore, by using or visiting, in any way, The Ikoku Philanthropies, any area, part, section or properties of The Ikoku Philanthropies, any area, part, section or properties of its divisions, series, subsidiaries or affiliates, as well as any of the Products and Services, including the Sites, you accept and agree that your consent meets the conditions, principles and requirements for consent, as delineated and described in a these Codes and Policies — for the specific purpose of consenting to this Policy, the Agreement and the Codes and Policies.

Your Abiding by The Policies

— You represent, warrant and covenant that, given the above attestation about your consent to the Policy on Company and Division Integrity, you have read, understood, consented to and agreed to be legally bound by and abide by the Policy on Company and Division Integrity and the Codes and Policies, as they are amended from time to time, and in their entirety without modification.

Your Understanding of Integrity

— You represent, warrant and covenant that, given the above attestation about your consent and adherence to the Policy on Company and Division Integrity, you have also read, understood, consented to and agreed to be legally bound by and abide by understandings of company and division integrity, indemnification, limited liability and property protections and rights as defined in all applicable law and regulation, by The Ikoku Philanthropies in the Codes and Polices, and as further delineated below, to be respected and not violated, in any way, by you.

Accordance with Ethics

— that The Ikoku Philanthropies ensure following the above principles further remains in accordance with the Codes and Policies and especially the Founding and Governing Code of Ethics.

Further Considerations

Your Knowledge and Agreement

The Ikoku Philanthropies strongly recommends you develop and maintain your knowledge of all the Codes and Policies, and so asks that you read, understand and regularly visit this page and other communications regarding the Policy on Company and Division Integrity, as well as the Codes and Policies. The Ikoku Philanthropies takes your continued visiting and use of its Products and Services, including its Sites, as active indication of your knowledge, understanding, legally binding acceptance and agreement.

Your Duty to Company and Division Integrity

To protect the company and organizational integrity of The Ikoku Philanthropies — as well as the properties, rights and protections of the company and its official persons — The Ikoku Philanthropies requires all natural and legal persons concerned to read, understand, abide by and, where applicable, sign contracts and agreements delineated and described in the Policy on Company and Division Integrity.

The Ikoku Philanthropies reminds you that the Policy on Company and Division Integrity forms part of The Ikoku Philanthropies User Agreement and Code of Conduct. Thus, The Ikoku Philanthropies takes your continued visiting and use of its Products and Services, including its Sites, as active indication of your legally binding acceptance of this Policy as well as the Codes and Policies.

Along with the above key principles, the Policy on Company and Division Integrity requires your adherence to a number of requirements, as delineated below.

A — Conditions

Conditions for Integrity

— that The Ikoku Philanthropies require and ensure that each and every natural and legal person engaging in activity with or relating to the company — including but not limited to each employee, partner, worker, contractor, volunteer, client, customer, user, visitor and equivalent agent or third party — is committed to and legally agrees to fostering and not diminishing, interfering or violating, in any way, with conditions, activities, operations and planning for the following:

Company, Division and Organizational Integrity
for maintaining the company, division and organizational integrity of The Ikoku Group and The Ikoku Philanthropies, including their divisions, series, subsidiaries and affiliates, as well as their Products and Services, including the Sites; with the above including but not limited to the development and operation of The Ikoku Group and The Ikoku Philanthropies, including their divisions, series, subsidiaries and affiliates, as well as their Products and Services, including the Sites, as a single group and division entity under the sole control of the Founder and Owner, Alvan Azinna Chibuzo Ikoku, with no copies, doubles, echoes, hidden parts or ports, shadows or any other alternative versions of such that are not authorized, approved and actively overseen by the above Founder and Owner.
Integrity as Protection of Properties and Rights
for administrating, managing, protecting and securing the properties and rights of The Ikoku Group and The Ikoku Philanthropies, including their divisions, series, subsidiaries and affiliates, as well as their Products and Services, including the Sites, especially but not limited to those rights pertaining to confidentiality, privacy, security, trade secrets and real and intellectual property, including such properties and rights pertaining to interests, memberships, shares, stocks and any other forms of decision-making, ownership or stake-holding.
Integrity as Separation and Protection from Personal and Public
for clearly, consistently and strictly separating and protecting the activities, assets and other properties, offices and equivalent work areas relating to the administration, control, governance, management, operations and equivalent responsibilities of The Ikoku Group and The Ikoku Philanthropies, including their divisions, series, subsidiaries and affiliates, as well as their Products and Services, including the Sites, and of The Ikoku Philanthropies Administration, as defined in these Codes and Polices, from that which is demarcated, operated or otherwise understood as public and personal.
Integrity as Responsibilities to and Rights of Official Persons
for fulfilling requirements and responsibilities and for protecting and remedying against any intentional or unintentional breach, diminishment, disruption, impediment, interference or other violation pertaining the properties, rights and protections of the official persons of The Ikoku Group and The Ikoku Philanthropies, especially the Founder and Owner, Alvan Azinna Chibuzo Ikoku, and any other managerial or executive staff or appropriately approved members or partners.
Integrity as Indemnification and Limited Liability
for instituting, maintaining and securing measures and protections pertaining to the indemnification and limited liability of The Ikoku Group and The Ikoku Philanthropies, including their divisions, series, subsidiaries and affiliates, as well as their Products and Services, including the Sites, and of the Founder and Owner, Alvan Azinna Chibuzo Ikoku, and any other managerial or executive staff or appropriately approved members or partners.
Integrity as Independent Administration and Management
for instituting, developing, maintaining and protecting the sole, complete, independent and executive control of the administration, management and operations of The Ikoku Group and The Ikoku Philanthropies, including their divisions, series, subsidiaries and affiliates, as well as the Products and Services, including the Sites, specifically by the Founder and Owner, Alvan Azinna Chibuzo Ikoku, or by persons approved by the Founder via expressly written instrument signed and sealed.
Integrity as Independent Governance and Oversight
for instituting, developing, maintaining and protecting the sole, complete, independent and executive governance and oversight of The Ikoku Group and The Ikoku Philanthropies, including their divisions, series, subsidiaries and affiliates, as well as the Products and Services, including the Sites, specifically by the Founder and Owner, Alvan Azinna Chibuzo Ikoku, or by persons approved by the Founder via expressly written instrument signed and sealed; which includes but is not limited to the development, implementation, compliance determination and revision of the Codes and Policies as well as any formation, operating, financial, governing and otherwise administrating or managing agreements, articles, bylaws, certificates, contracts and other documents.
Integrity as Sole Communication, Notification and Processing
for instituting, developing, maintaining and protecting measures to ensure the sole officially approved and independently administered communication and notification from The Ikoku Group and The Ikoku Philanthropies, including their divisions, series, subsidiaries and affiliates, as well as the Products and Services, including the Sites, specifically by the Founder and Owner, Alvan Azinna Chibuzo Ikoku, or by persons approved by the Founder via expressly written instrument signed and sealed; which includes but is not limited to such communication and notification pertaining to legal and other proceedings, procedures, processing of data and information and other activities described and delineated in the Policy of Data and Information and Policy on Human Subjects Research and Investigation.
Integrity as Sole Executive Authorization and Approval
that the above conditions furthermore entail acceptance by said persons of the sole executive authority of the Founder and President, Alvan Azinna Chibuzo Ikoku, to approve and authorize offices and equivalent work areas, codes and policies, agreements, contracts and other legal instruments, and activities, assets and properties relating to the administration, compliance, control, development, governance, management, operations, oversight and other executive responsibilities of The Ikoku Group and The Ikoku Philanthropies, including their divisions, series, subsidiaries and affiliates, as well as their Products and Services, including the Sites; with the above including but not limited to employment and volunteerships, third-party servicing and other relations, franchising, fundraising and other licensing, affiliations, partnerships, endorsements and sponsorships.
As Determined by the Founder of Company
all of the above as the Founder and Owner of The Ikoku Group and The Ikoku Philanthropies, Alvan Azinna Chibuzo Ikoku, independently determines appropriate from time to time and solely controls.

And furthermore, by using or visiting, in any way, The Ikoku Philanthropies, any area, part, section or properties of The Ikoku Philanthropies, any area, part, section or properties of its divisions, series, subsidiaries or affiliates, as well as any of its Products or Services, including the Sites, you accept and agree to the terms, conditions and requirements described above, and in these Codes and Policies, in their entirety without modification.

Sole Determination of Compliance, Remedy and Priority

that the above conditions entail a legally binding acceptance by said persons of the following:

Sole Determination of Compliance and Remedy
the sole executive authority of the Founder and President, Alvan Azinna Chibuzo Ikoku, to, at his sole discretion, determine compliance with this Policy and appropriate remedies for non-compliance.
Sole Determination of Priority
that The Ikoku Group, The Ikoku Philanthropies and their Founder and Owner reserve the right to, at their sole discretion, determine adequate means by which they shall hold the Policy on Company and Division Integrity and its compliance and remedying of non-compliance to be of high and urgent priority in relation to other Codes and Policies and to their principles, rights and responsibilities.
Sole Determination and Restriction of Other Persons’ Fostering
and that The Ikoku Group, The Ikoku Philanthropies and their Founder and Owner reserve the right to, at their sole discretion, determine approved ways in which person may foster company and division integrity, restricted to noninterference, reporting of non-compliance to the above Founder and Owner, and upon this Founder’s request provision of evidentiary proof in appropriately approved legal, investigative and remedying proceedings.

And furthermore, by using or visiting, in any way, The Ikoku Philanthropies, any area, part, section or properties of The Ikoku Philanthropies, any area, part, section or properties of its divisions, series, subsidiaries or affiliates, as well as any of its Products or Services, including the Sites, you accept and agree to the terms, conditions and requirements described above, and in these Codes and Policies, in their entirety without modification.

No Further Conferral From Rights

— that the above conditions also entail a legally binding acceptance by said persons that the exercising, respect or support of any freedoms, liberties or rights shall not confer any right of access to, acquisition of or share of interests, shares, stocks, votes or other form of ownership or control in or of:

The Ikoku Group
any areas, parts or sections of The Alvan Ikoku Group LLC, also officially doing business as The Ikoku Group and The Alvan Azinna Chibuzo Ikoku Group.
The Ikoku Philanthropies
any areas, parts or sections of The Alvan Ikoku Philanthropies, also officially doing business as The Ikoku Philanthropies and The Alvan Azinna Chibuzo Ikoku Philanthropies (or of its parent company The Alvan Ikoku Group LLC).
Assets and Properties
any areas, parts, portions or sections of the assets and properties of The Ikoku Philanthropies, and its Products and Services, including the Sites (or of its parent company The Alvan Ikoku Group LLC).
Series and Subsidiaries
any areas, parts or sections of the series, subsidiaries and affiliates of The Ikoku Philanthropies, and its Products and Services, including the Sites (or of its parent company The Alvan Ikoku Group LLC).
Administration and Operations
any areas, parts or sections of the administrative, development, managerial, operations, governance or other work offices, spaces or properties of The Ikoku Philanthropies, of its series, subsidiaries and affiliates, and of its Products and Services, including the Sites (or of its parent company The Alvan Ikoku Group LLC).
To Any Person Other than Owner
— any of the aforementioned to any natural or legal person other than the Founder and Owner, Alvan Azinna Chibuzo Ikoku.

And furthermore, by using or visiting, in any way, The Ikoku Philanthropies, any area, part, section or properties of The Ikoku Philanthropies, any area, part, section or properties of its divisions, series, subsidiaries or affiliates, as well as any of its Products or Services, including the Sites, you accept and agree to the terms, conditions and requirements described above, and in these Codes and Policies, in their entirety without modification.

No Further Conferral From Policies

— that the above conditions further entail a legally binding acceptance by said persons that no part of the Codes and Policies and equivalent official documents and statements shall confer — or be construed or interpreted as conferring — any right of access to, acquisition of or share of interests, shares, stocks, votes or other form of ownership or control of or in:

The Ikoku Group
any areas, parts or sections of The Alvan Ikoku Group LLC, also officially doing business as The Ikoku Group and The Alvan Azinna Chibuzo Ikoku Group.
The Ikoku Philanthropies
any areas, parts or sections of The Alvan Ikoku Philanthropies, also officially doing business as The Ikoku Philanthropies and The Alvan Azinna Chibuzo Ikoku Philanthropies (or of its parent company The Alvan Ikoku Group LLC).
Assets and Properties
any areas, parts, portions or sections of the assets and properties of The Ikoku Philanthropies, and its Products and Services, including the Sites (or of its parent company The Alvan Ikoku Group LLC).
Series and Subsidiaries
any areas, parts or sections of the series, subsidiaries and affiliates of The Ikoku Philanthropies, and its Products and Services, including the Sites (or of its parent company The Alvan Ikoku Group LLC).
Administration and Operations
any areas, parts or sections of the administrative, development, managerial, operations, governance or other work offices, spaces or properties of The Ikoku Philanthropies, of its series, subsidiaries and affiliates, and of its Products and Services, including the Sites (or of its parent company The Alvan Ikoku Group LLC).
To Any Person Other than Owner
— any of the aforementioned to any natural or legal person other than the Founder and Owner, Alvan Azinna Chibuzo Ikoku.

And furthermore, by using or visiting, in any way, The Ikoku Philanthropies, any area, part, section or properties of The Ikoku Philanthropies, any area, part, section or properties of its divisions, series, subsidiaries or affiliates, as well as any of its Products or Services, including the Sites, you accept and agree to the terms, conditions and requirements described above, and in these Codes and Policies, in their entirety without modification.

B — Activities, Areas and Assets

Determination of Administration

— that The Ikoku Philanthropies require and ensure that the term “The Ikoku Philanthropies Administration” mean and include, but not be limited to, the following:

The Ikoku Philanthropies
The Alvan Ikoku Philanthropies, as a division of The Alvan Ikoku Group LLC also officially doing business as The Ikoku Philanthropies and The Alvan Azinna Chibuzo Ikoku Philanthropies.
Series and Affiliates
the series, subsidiaries, affiliates and other entities of The Ikoku Philanthropies.
Products and Services
the Products and Services of The Ikoku Philanthropies.
Education, Research and Work Spaces
the education, research and other work areas, offices, sections and spaces of The Ikoku Philanthropies.
Administrative, Managerial and Operations Spaces
the administrative, managerial, operations and other executive and technical areas, offices, sections and spaces of The Ikoku Philanthropies.
Education, Research and Work Activities
the education, research and other work activities and documented decisions of The Ikoku Philanthropies, its sole Founder and Owner, Alvan Azinna Chibuzo Ikoku, as well as other appointed Directors, Managers, Officers, leadership, employed and volunteer personnel and other agents engaged in such activities and decisions within and in relation to The Ikoku Philanthropies.
Administrative, Managerial and Operations Activities
the administrative, managerial, operations and other executive and technical activities and documented decisions of The Ikoku Philanthropies, its sole Founder and Owner, Alvan Azinna Chibuzo Ikoku, as well as other appointed Directors, Managers, Officers, leadership, employed and volunteer personnel and other agents engaged in such activities and decisions within and in relation to The Ikoku Philanthropies.
Computers, Devices and Technologies
the computers, devices, equipment, servers, software, storage and other technologies of The Ikoku Philanthropies.
Assets and Properties
the assets and properties accrued from, developed by, operationalized through, stored within or otherwise deployed, processed or utilized in relation to the aforementioned.
As Determined by Founder

And furthermore, by using or visiting, in any way, The Ikoku Philanthropies, any area, part, section or properties of The Ikoku Philanthropies, any area, part, section or properties of its divisions, series, subsidiaries or affiliates, as well as any of the Products or Services, including the Sites, you accept and agree to the terms, conditions and requirements described above, and in these Codes and Policies, in their entirety without modification.

Sole Purchaser and Designator

that the Founder and Owner, Alvan Azinna Chibuzo Ikoku, is the sole person with powers of authorization, designation and purchasing required to acquire, authorize, designate, determine and provide access to the following:

The Alvan Ikoku Philanthropies, as a division of The Alvan Ikoku Group LLC also officially doing business as The Ikoku Philanthropies and The Alvan Azinna Chibuzo Ikoku Philanthropies.
Series and Affiliates
the series, subsidiaries, affiliates and other entities of The Ikoku Philanthropies.
Products and Services
the Products and Services of The Ikoku Philanthropies.
Education, Research and Work Spaces
the education, research and other work areas, offices, sections and spaces of The Ikoku Philanthropies.
Administrative, Managerial and Operations Spaces
the administrative, managerial, operations and other executive and technical areas, offices, sections and spaces of The Ikoku Philanthropies.
Education, Research and Work Activities
the education, research and other work activities and documented decisions of The Ikoku Philanthropies, its sole Founder and Owner, Alvan Azinna Chibuzo Ikoku, as well as other appointed Directors, Managers, Officers, leadership, employed and volunteer personnel and other agents engaged in such activities and decisions within and in relation to The Ikoku Philanthropies.
Administrative, Managerial and Operations Activities
the administrative, managerial, operations and other executive and technical activities and documented decisions of The Ikoku Philanthropies, its sole Founder and Owner, Alvan Azinna Chibuzo Ikoku, as well as other appointed Directors, Managers, Officers, leadership, employed and volunteer personnel and other agents engaged in such activities and decisions within and in relation to The Ikoku Philanthropies.
Computers, Devices and Technologies
the computers, devices, equipment, servers, software, storage and other technologies of The Ikoku Philanthropies.
Assets and Properties
the assets and properties accrued from, developed by, operationalized through, stored within or otherwise deployed, processed or utilized in relation to the aforementioned.
As Determined by Founder
all of the above as acquired, donated, purchased, received or otherwise operationalized by means of The Ikoku Philanthropies and/or The Ikoku Group and approved, authorized and documented as such solely by the Founder and Owner, Alvan Azinna Chibuzo Ikoku.

And furthermore, by using or visiting, in any way, The Ikoku Philanthropies, any area, part, section or properties of The Ikoku Philanthropies, any area, part, section or properties of its divisions, series, subsidiaries or affiliates, as well as any of the Products or Services, including the Sites, you accept and agree to the terms, conditions and requirements described above, and in these Codes and Policies, in their entirety without modification.

Protection of Administration

that The Ikoku Philanthropies Administration be considered organizationally confidential and private; be protected as such in order to enjoy rights to confidentiality, privacy, protection, safety, security and property; and so not be considered or operated as public or open to the public.

Separation from Personal Devices

that there be no points of access — and especially no processing of data or information — between The Ikoku Philanthropies Administration and personal computers, devices, equipment, servers, storage and equivalent technologies.

Separation from Personal Spaces

that there be no points of access — and especially no processing of data or information — between The Ikoku Philanthropies Administration and personal homes or equivalent spaces.

Sensitivity and Non-Extension

— that the above determination, distinction and protection render any processing of data and information within The Ikoku Corporation and its Administration — and any data and information thus accessed — subject to the Principles of Sensitivity under the Policy on Data and Information.

— that the above preclude permitting any natural or legal person to consent to or conduct official work of The Ikoku Corporation Administration on devices described, demarcated or otherwise understood as public and personal.

— that any official work of The Ikoku Corporation Administration must be conducted either at The Ikoku CorporationAdministration or on The Ikoku Corporation Administration devices, and whenever such work is conducted in personal or public spaces such spaces shall not be considered or operated as extensions of The Ikoku Corporation or The Ikoku Corporation Administration.

— and that no personal or public computers, devices, equipment, servers, storage and equivalent technologies, personal or public homes, personal or public offices, and personal or public spaces be considered extensions of The Ikoku Philanthropies Administration.

C — Persons and Contracts

Work Contracts and Agreements

— that The Ikoku Corporation require and ensure that each and every employee, partner, worker, contractor, freelancer, volunteer and equivalent agent or third party have and sign a written contract, that such contract clearly convey the specific nature, role, duties and responsibilities as well as terms and conditions of employment or arrangement, relationship and work in a language understood by each signatory, and that the described arrangement, relationship and work commence only after said contract is signed and consented to by each said signatory.

Other Contracts and Agreements

— that The Ikoku Corporation require and ensure that each and every paid and unpaid person, agent or third party providing continuous or occasional services to The Ikoku Corporation — including but not limited to cases of care, consulting, education, research, technical services, training, writing or other equivalent work or services arrangement — also have and sign a written contract and that such contract clearly convey the specific nature, role, duties and responsibilities as well as terms and conditions of the arrangement, relationship and services in a language understood by each signatory, and that the arrangement, relationship and services commence only after said contract is signed and consented to by each said signatory.

Sole Approval of All Contracts

— that The Ikoku Corporation require and ensure that any and all above contracts and equivalent legal instruments be authorized, reviewed and approved solely by expressly written instrument signed and sealed of Alvan Azinna Chibuzo Ikoku, the sole Founder and Owner.

D — Notarized Agreements

Confidentiality and Privacy Agreement

— to further protect the company, division and organizational integrity of The Ikoku Group and The Ikoku Corporation — as well as the properties, rights and enumerated protections of the company, division and their official persons — The Ikoku Corporation shall require and ensure that each and every person under the above-described contract or equivalent legal instrument also sign a written and notarized confidentiality and privacy agreement (the “Confidentiality and Privacy Agreement”) meeting all of the following specifications:

Attestation to Governing Codes and Policies
that the Confidentiality and Privacy Agreement shall require the signatory to attest to having read, understood and agreed to abide by the Codes and Policies, Founding Codes of Ethics and other associated governance codes of The Ikoku Philanthropies.
Attestation to Policy on Privacy and Confidentiality
that the Confidentiality and Privacy Agreement shall require the signatory to attest to having read, understood and agreed to abide by the Policy on Privacy and Confidentiality and all other confidentiality and privacy protections described in the Codes and Policies, the Note on Incompatibility with the Founding of The Ikoku Philanthropies, the Founding Codes of Ethics and other associated governance codes of The Ikoku Philanthropies.
Prohibitions of Breaching and Violating Activity
that The Confidentiality and Privacy Agreement shall prohibit all paid and unpaid signatories from engaging in or assisting any action, activity or operation in intentional violation of our policies and protections for confidentiality and privacy — even while being an “activist,” “protester,” “vigilante” or equivalent agent — and The Confidentiality and Privacy Agreement shall specifically prohibit all paid and unpaid signatories from being a “hacker,” “ransomer,” “spy” or equivalent agent and engaging in associated activities or operations — and from facilitating any “hacker,” “ransomer,” “spy” or equivalent agent and their associated activities or operations — and from being or facilitating an agent, employee or member of O’Keefe, Project Veritas or any other such company or organization, or from becoming a “hacker,” “ransomer,” “spy” or equivalent agent for such an organization in the future.
Damages and Liabilities
that The Confidentiality and Privacy Agreement shall specify that damages of not less than $10 Million will be assessed against any person who is determined to be or facilitate such an “activist,” “protester,” “vigilante,” “hacker,” “ransomer,” “spy” or equivalent agent now or in the future — or being or facilitating an agent of such companies or organizations described above, now or in the future — and that the damages will be assessed against the above-described “activist,” “protester,” “vigilante,” “hacker,” “ransomer,” “spy” or equivalent agent or their immediate family, as well as their heirs and assigns, and that the signatory acknowledges this liability.
Clarity and Signature Before Notary and Witness
that The Confidentiality and Privacy Agreement shall be written and in plain language and it shall be mandatory for all required signatories to sign it in front of a notary and witnesses before the engagement, continuation or performance of any agreement or contract.
Actions upon Refusal or Demurment
that upon refusal to sign, any other agreement, contract or equivalent legal instrument shall be terminated. A forensics investigation shall be conducted with respect to possible breaches or violations of governance codes and policies, as well as confidentiality, privacy and security protections. Any desk, possessions and office areas associated or in communication with The Ikoku Philanthropies shall be searched by privacy, security and technology staff for malware, spyware, wiretaps and their equivalent, as well as for stolen documents, property and their equivalent.
Actions upon Discovery of Violation
and that if the above breaches, violations, evidence of such or their equivalent are found, the police should be called and the person should be arrested for trespassing, presenting a false identity, the placing of illegal malware, spyware and wiretap equipment, violation of confidentiality and privacy, and theft of private property and documents by burglary.

As with all contracts and equivalent legal instruments, The Ikoku Corporation shall require and ensure that each Confidentiality and Privacy Agreement be authorized and approved by expressly written instrument signed and sealed of Alvan Azinna Chibuzo Ikoku, the sole Founder and Owner.

Company and Division Integrity Agreement

— to further protect the company, division and organizational integrity of The Ikoku Group and The Ikoku Corporation — as well as the properties, rights and enumerated protections of the company, division and their official persons — The Ikoku Corporation shall require and ensure that each and every person under the above-described contract or equivalent legal instrument also sign a written and notarized company integrity agreement (the “Company and Division Integrity Agreement”) meeting all of the following specifications:

Attestation to Governing Codes and Policies
that the Company and Division Integrity Agreement shall require the signatory to attest to having read, understood and agreed to abide by the Codes and Policies, Founding Codes of Ethics and other associated governance codes of The Ikoku Philanthropies.
Attestation to Policy on Company and Division Integrity
that the Company and Division Integrity Agreement shall require the signatory to attest to having read, understood and agreed to abide by the Policy on Company and Division Integrity and all other protections and rights of The Ikoku Group and The Ikoku Philanthropies to company and division integrity, properties and rights described in the Codes and Policies, Founding Codes of Ethics and other associated governance codes of The Ikoku Group and The Ikoku Philanthropies.
Prohibitions of Breaching and Violating Activity
